PROCEDURE-1

  1. ⁠ Buyer issues ICPO addressed to the Seller for ⁠verification and approval.

  2. ⁠ Seller issues CI, Buyer signs and returns CI, within 24 hours.⁠   

  3. ⁠ Seller issues Authorization to the Buyer for buyers Vopak Terminal Manager to ⁠ communicate with sellers Vopak terminal manager to verify the existence of the products. This is to allow the buyer to verify fuel is real.

  4. ⁠ After confirmation from the Buyers Vopak terminal manager, the Buyers Vopak    Terminal ⁠ Manager submits the below documents to the Sellers Vopak terminal manager.

•Vopak Terminal Agreement or Vopak Reference Code

•  ⁠ Vopak Barcode.⁠   

  1. ⁠ Buyer finalizes the Vopak Terminal Protocols⁠     

  2. ⁠ Seller issues Full POP documents to the Buyer Vopak terminal manager and injection ⁠ begins.

  3. ⁠ Upon completing the Injection, Buyer makes full payment via MT103 TT, and the Seller ⁠ transfers title to buyer.

  4. ⁠ The seller pays commission to all intermediaries until Contract is complete along with all ⁠ rolls and extensions.

  2. ⁠ Seller issues CI. Buyer signs and returns CI within 24 ⁠    hours

  3. ⁠ Seller issues Authorization to Buyer for Buyer's Vopak Terminal Manager to communicate ⁠ with Seller's Vopak Terminal Manager to verify the existence of product. This is to allow Buyer to verify fuel is real

  4. ⁠ After confirmation from Buyer's Vopak Terminal Manager, Buyer's Vopak Terminal ⁠ Manager submits below documents to Seller's Vopak Terminal Manager :

  1. Buyer submit an ICPO with full banking details, corporate board resolution, non-solicitation letter, signatory’s Passport copy, corporate registration, Commitment Letter.

 

  1. Seller issues Commercial Invoice (CI) to Buyer. Buyer signs back the CI and returns to Seller. Buyer and Seller TTM at Vopak to disclose confidential information.

 

  1. Buyer and Seller endorse Pipeline Injection Agreement with the hired Vopak tank facilitators: Seller transports/injects the products into the hired Vopak tanks and issues Partial Proof of Product (PPOP) to Buyer:

  1. Tank Storage Receipt

  2. Fresh SGS Test Report

  3. Injection Report

  4. ATV/ATSC

  5. Commitment letter to supply

  6. Unconditional Dip Test Authorization (UDTA)/ NCNDA-IMFFPA

  7. Statement of availability of the product in Vopak storage Reservoir to Buyer

 

  1. Seller and Buyer endorse (UDTA) with the Vopak Facilitator and sign the NCNDA-IMFFPA in favor of Buyer, and all Intermediaries/parties involved in the transaction.

 

  1. Buyer Conduct their own dip test for oil, moisture, impurities (and herein necessary), in the laboratory employed by the Buyer. The result shall be communicated to the seller promptly. Upon receiving the results of the buyer SGS analysis. The average of the two results shall form the basis for settlement.

 

  1. If the results of the first and second analysis vary significantly, Buyer has the right to apply for the full control analysis or has the right to arrange a third analysis by a mutually agreed laboratory.

 

  1. In case third analyze is ordered then the average of the results of the two closest (of which result are closest to each other) analyzes shall constitute the basis for final and binding settlement.

 

  1. Upon product verification by SGS confirm cargo satisfactory, Buyer shall wire SWIFT MT103 settlement the face value. “Seller” shall send the “Title” hard copy original to “Buyer” by bank bonded courier and pay all commissions fees and subsequent tranches will be based on the same procedure or agreed by both parties, until contract become exhausted.
